TRASA3 Anton Laufer (NIP 5862379164, REGON 52169094), with its registered office in Gdynia, ul. Żwirki i Wigury 9/2, 81-391, operating on the basis of an entry in the CEIDG register of entrepreneurs No. 000947358/2022 dated 2022-04-06, registered by the Ministry of Development and Technology of the Republic of Poland, hereinafter referred to as the “Contractor” or “TRASA3”, offers any interested person, hereinafter referred to as the “Client”, the conclusion of an agreement – offer (hereinafter referred to as the “Agreement”) under the terms set out below.
1. SUBJECT OF THE AGREEMENT
1.1. TRASA3 provides the Client with services related to the sale, configuration and installation of smart IoT devices, automation systems, Industrial IoT solutions, as well as access to furniture configurators, creation of smart furniture and CNC operation training, information and consulting services in the form of distance learning via the Internet, including assistance with the installation of licensed software, access to professional video recordings containing original content, etc. We also provide technical support, advice on equipment selection and servicing of IoT devices. TRASA3 determines the prices for each service performed according to the rates stated on the TRASA3 website – https://trasa3.com, and other websites (hereinafter referred to as the website(s)).
2. GENERAL PROVISIONS
2.1. In accordance with the Civil Code applicable in the country in which TRASA3 is registered, payment made to the Contractor for the sale, installation and configuration of IoT devices and furniture provided by TRASA3 shall be deemed unconditional acceptance of the terms of the Agreement.
2.2. This Agreement is ancillary in nature. Full and unconditional acceptance of the terms set out below and of this public offer is confirmed by submitting to TRASA3, electronically or through the Contractor’s support service, an application for the provision of services and subsequently making payment for such services. Preliminary registration is not required.
2.3. By taking actions aimed at accepting this Agreement – public offer, the Client confirms their legal capacity, that they are at least 18 years of age, and that they are entitled to enter into a contractual relationship with TRASA3.
2.4. This public offer (hereinafter referred to as the Agreement) is concluded in a specific manner – by its acceptance, without the need for the parties to sign it. Acceptance of the terms set out below means that the Agreement has been concluded, and a natural person or company that has accepted this offer becomes the Client. Acceptance of the offer is equivalent to conclusion of the Agreement under the terms specified herein.
2.5. This Agreement has legal force in accordance with the provisions of the Civil Code applicable in the country in which the Contractor is registered and is equivalent to an agreement signed by the parties.
2.6. Upon receipt of an application for TRASA3 services, all information contained therein shall constitute the basis of the Agreement between the Contractor and the Client. In such a case, the Client (party to the Agreement) shall be any person indicated in the payment document on whose behalf payment was made under this Agreement (the payer). If payment was made for the benefit of a third party and this results from the payment document or another official document, the Client under this Agreement shall be the person for whose benefit the payment was made.
2.7. This Agreement is a multi-part agreement consisting of the accepted public offer and its integral parts, including invoices for payment, an additional service agreement (if concluded at the request of the Ordering Party), as well as the terms, conditions and provisions published on TRASA3 websites.
2.8. If you do not agree with any clause of this offer, we recommend that you decline to accept it and instead conclude a separate service agreement or another agreement with the Contractor tailored to your needs.
2.9. The estimated time for completion of services is from 3 to 14 business days, but no later than 30 business days. The estimated time for completion of CNC operation training, information and consulting services in the form of distance learning via the Internet, including assistance with the installation of licensed software, is from 2 to 4 hours on business days, but no later than the next business day.
2A. TERMS USED
For the purposes of this public offer, the following terms shall have the meanings set out below:
2A.1. Contractor – TRASA3 Anton Laufer (NIP 5862379164, REGON 52169094), with its registered office in Gdynia, ul. Żwirki i Wigury 9/2, 81-391, operating on the basis of an entry in the CEIDG register of entrepreneurs No. 000947358/2022 dated 6 April 2022, registered by the Ministry of Development and Technology of the Republic of Poland.
2A.2. Acceptance of the Offer – full and unconditional acceptance of the terms of the offer through actions taken by the Ordering Party expressing the intention to use the Contractor’s services in order to obtain TRASA3 services through the Contractor’s websites.
2A.3. Websites – publicly accessible Internet resources owned by the Contractor, located at https://trasa3.com, as well as other domains, subdomains and services within the main domain through which services are provided and access to information and consulting materials is made available.
2A.4. Offer Agreement – an agreement concluded between the Contractor and a website User who, after submitting an application, has become a Client and obtained access to consulting services and information and consulting materials available on the Contractor’s websites (see Section 2A.3), which constitutes acceptance of the offer.
2A.5. Client – a User who has accepted the offer and thereby became a Client of TRASA3 services on the basis of the concluded Offer Agreement.
2A.6. User – a natural person registered on the website or an unregistered guest who has visited one of the TRASA3 websites in order to obtain information for their own use and subsequently became a Client if they expressed interest in the Contractor’s services and completed the relevant application form or contacted customer service.
2A.7. Order – a request submitted by the Client for the provision of consulting services or access to information and consulting materials available on the Contractor’s websites.
2A.8. Offer – the document entitled “Public Offer Agreement for the Provision of Services, Including Information and Consulting Services (Using an Internet Connection)”, published on one of the Contractor’s websites.
2A.9. Registered User / Unregistered Guest – an adult natural person who is at least 18 years of age and has the legal capacity to enter into a contractual relationship with the Contractor.
2A.10. Support Service – a dedicated TRASA3 website enabling the handling and fulfilment of Orders, providing communication with Users and Clients using TRASA3 services, and providing technical support.
3. OBLIGATIONS OF THE PARTIES
3.1. Obligations of the Contractor:
3.1.1. Sale and delivery of smart IoT devices, furniture and automation systems, provision of access to configurators, and delivery of CNC training. Installation and configuration of IoT devices at the Client’s premises upon request. Provision of servicing and technical support. Consulting regarding the selection of IoT solutions tailored to the Client’s needs. Provision of remote information and consulting services via an Internet connection (hereinafter referred to as information and consulting services) under the terms specified on the Contractor’s websites.
3.1.2. Treat information received from the Client as confidential and not disclose it or other personal data without the Client’s consent. At the same time, process the received data solely for the purpose of performing the Agreement.
3.1.3. Make free materials available to the Client on the Contractor’s websites at the Client’s request.
3.1.4. Advise the Client on organisational and technical matters related to conducting webinars and other events, as well as on educational matters, using the support service available on the Contractor’s website. In emergency situations, e.g. in the event of an interruption of the Internet connection on the TRASA3 side, the Contractor may use alternative methods of communication with the Client, such as e-mail, SMS messages sent to the Client’s mobile phone, chats or online messaging services, as well as other methods of transmitting information at TRASA3’s request.
3.2. Obligations of the Contractor:
3.2.1. Submit an application to enrol in online training or use other services through the TRASA3 support department, or contact TRASA3 using alternative communication methods such as online messaging services, website chats, etc.
3.2.2. Pay for services in accordance with the terms specified on the TRASA3 website: https://trasa3.com/. Provide conditions enabling installation and configuration of IoT devices at the agreed time. Comply with the rules concerning the use and maintenance of IoT devices in accordance with the recommendations of the manufacturer and TRASA3. Accepted payment methods: debit and credit cards (PayU), BLIK and PayPal.
4. RIGHTS OF THE PARTIES
4.1. The Ordering Party has the right to choose the appropriate consulting option by submitting the relevant request through the Contractor’s support department or by contacting the Contractor using alternative communication methods.
4.2. The Client has the right to select appropriate devices and services from the TRASA3 offer by submitting the relevant request through the support service.
4.3. TRASA3 reserves the right to update its offers and Terms and Conditions without prior notice.
5. PRICE, TERMS AND PAYMENT PROCEDURE
5.1. Information on the costs of devices and services is available on the TRASA3 website: https://trasa3.com/.
5.2. The Client is required to make payment before the commencement of the service involving the sale, installation or configuration of devices.
5.3. The Client shall pay for information and consulting services through the TRASA3 website or independently using third-party services. The Contractor accepts bank transfers and other forms of payment permitted by applicable law.
5.4. The Client is required to make payment and confirm that it has been made before the commencement of information and consulting services by contacting the TRASA3 support department. The Contractor reserves the right to allow payment in instalments. In the case of monthly payments, the Contractor has the right to determine a new price taking into account any applicable commissions.
5.5. If payment is not confirmed within the time limits specified on the TRASA3 website or in additional professional service agreements, TRASA3 has the right to block the Client’s access to the distance learning system and/or methodological materials published on the Contractor’s other websites.
5.6. The cost of services is calculated on the basis of the exchange rate of the Client’s currency against PLN (Polish zloty) according to the current rates.
5.7. A Client who is a consumer and has concluded a distance contract or an off-premises contract has the right to withdraw from it within 14 days without giving any reason and without incurring costs, except for the costs specified in Articles 33, 34(2) and 35 of the Act of 30 May 2014 on Consumer Rights, Article 27. A refund is possible only if the Client contacts the Contractor regarding this matter within 14 days from the date of payment, in accordance with applicable law.
6. PROCEDURE FOR CONCLUSION OF THE AGREEMENT AND ITS TERM
6.1. The Agreement enters into force upon payment by the Client for the information and consulting services provided by the Contractor and upon recording information about such payment in the Contractor’s accounting system.
6.2. The term of the Agreement shall correspond to the duration of the provision of information and consulting services, in accordance with the time limits specified on the Contractor’s website.
6.3. Once both Parties have fully performed their obligations under the Agreement, no separate documents confirming completion of the services are required. If written confirmation of the work performed is required, the Client must contact the Contractor independently in order to obtain the relevant document.
7. ADDITIONAL TERMS
7.1. If the Contractor fails to deliver or install devices in accordance with the agreed terms, the Client has the right to a partial refund proportionate to the scope of services not performed.
7.2. In the event of unforeseen circumstances (force majeure), such as natural disasters, power outages, telecommunications network failures or other unforeseen events, the Contractor reserves the right to change the service completion date.
7.3. A refund is possible only on the basis of a written request from the Client and after the Contractor has verified that the services have not been performed.
7.4. The Client is required to provide access to the place where the devices are to be installed and to comply with the recommendations concerning their proper use and maintenance.
7.5. The Contractor shall not be liable for device failures resulting from improper use by the Client.
8. DISPUTE RESOLUTION
8.1. The Contractor accepts all complaints and financial claims exclusively from the person who accepted the terms of this Offer Agreement (the Client). If the Client wishes to obtain a refund or does not accept the format in which the services are provided, the Client should contact the Contractor by sending an e-mail to: info@trasa3.pl. The processing time for a refund request is 7 business days.
8.2. In the event of any claims that could not be resolved directly with the Client, a report shall be drawn up indicating the unresolved provisions of the Agreement and signed by both the Client and the Contractor. The original report shall remain with the Client and a copy with the Contractor. Within 7 business days from the date of submitting the request, the Client should provide the Contractor with the report together with a written statement describing the nature of the complaint.
8.3. In the event of misunderstandings and disputes arising from non-performance or improper performance of this Agreement, the parties should seek to resolve them through negotiations in order to reach an agreement.
8.4. If no agreement is reached through negotiations, all disputes shall be heard and resolved by the court having jurisdiction over the Contractor’s registered office.
